MENTOR EMPANELMENT AGREEMENT
This Mentor Empanelment Agreement (“Agreement”) is entered by and between
IIM Calcutta Innovation Park, a Section 8 company registered under the laws of
India,
having its registered office situated at IIM Calcutta, Joka, Kolkata, India,
hereinafter referred to as the “Company”; and the person submitting this application,
hereinafter referred to as the “Consulting Mentor”.
1. Background
The Company is engaged in incubating and funding early stage enterprises, working closely
with start-ups and supporting a network of affiliates to replicate the Company’s incubation
model.
The Company desires to engage the applicant as a Mentor to render mentorship services
to the Company and/or such assignees as the Company may designate from time to time.
2. Provision of Services
The Mentor agrees to provide mentorship services to the Company and/or its designated mentees.
The scope of services may be mutually reviewed and amended from time to time.
The Mentor shall act as an independent mentor and shall not be considered an employee,
agent, or service provider of the Company.
The Mentor shall not use confidential information, mentee name, logo, or intellectual property
without prior written consent of the Company.
3. Payments
Subject to the terms of the Agreement, the Mentor may be entitled to a mentorship fee
for services rendered. The Mentor shall submit invoices and monthly reports as required.
The Company may withhold payment for non-completion of services, non-compliance,
poor quality of work, or breach of terms.
4. Covenants and Undertakings
- Comply with the terms and conditions of the Agreement.
- Make themselves available to the mentee at reasonable times.
- Use knowledge, skill, and expertise for performance of services.
- Perform services faithfully and diligently.
- Follow Company policies and regulations.
- Submit monthly activity reports to the Company.
- Not engage in unjust enrichment through mentees, clients, or third parties.
5. Termination
Either party may terminate the engagement by serving 30 days’ prior written notice.
The Company may immediately terminate the engagement in case of dishonest acts,
misconduct, breach of agreement, conflict of interest, insolvency, or conduct prejudicial
to the Company or mentee.
6. Consequences of Termination
- The Mentor shall deliver all completed and work-in-progress deliverables.
- The Mentor shall destroy or delete all confidential information and materials.
- Surviving obligations under the Agreement shall continue.
- Accrued rights or obligations prior to termination shall remain unaffected.
7. Confidentiality and Non-Disclosure
Confidential Information includes all information disclosed by the Company or mentee,
including trade secrets, specifications, techniques, data, plans, finances, funders,
partners, incubatees, and other related information.
The Mentor shall treat all Confidential Information as confidential during and after
the term of engagement and use it only for fulfilling obligations under the Agreement.
8. Intellectual Property Rights
All Intellectual Property Rights arising out of the services or engagement shall belong
solely to the mentee/company, and the Mentor shall assist in protecting or establishing
such rights when required.
9. Conflicts of Interest, Non-Compete and Non-Solicit
The Mentor shall disclose any direct or indirect interest or benefit related to the Company
or mentee. During the term and for 12 months thereafter, the Mentor shall not solicit or
recruit employees, consultants, vendors, mentors, or mentees of the Company or its affiliates.
10. Miscellaneous
This Agreement represents the complete understanding between the parties. Any amendment
must be in writing and executed by both parties.
Disputes shall first be resolved amicably within 30 days. If unresolved, the matter shall
be referred to arbitration in Kolkata, India, under Indian law.
The Agreement shall be governed by the laws of India, and courts in Kolkata, West Bengal
shall have exclusive jurisdiction.
Electronic Submission
Parties agree that this Agreement may be executed by submitting the onboarding form
electronically and shall have the same binding effect as a physical signature.
By submitting this form, the Consulting Mentor agrees to abide by the provisions of this
Agreement.
Annexure A - Terms of Service
The Mentor is required to:
- Devote the mentioned hours on a monthly basis, or more as required by the mentee.
- Make a physical visit to the office/site of operation of the mentee with the assigned
Portfolio Manager within 20 days.
- Attend the diagnostic panel and set the 100 days operational plan.
- Have weekly mentoring calls with the mentee to review progress and set targets.
- Conduct monthly performance reviews and submit reports through the Portfolio Manager.
- Ensure the mentee’s progress is on track as per assigned targets.
- Make quarterly visits to the mentee’s office/site of operation.
- Provide hands-on support in building operational and financial models and other required
areas.
